Subscription Agreement
This Subscription Agreement (the “Agreement”) is effective on the initial date of purchase, by and between Ivím Health LLC, (“Ivim”), and the subscriber (“You” or “Your”), each also referred to as a “Party” and together as the “Parties.”
- Subscription Services
1.1 From Ivim’s acceptance, and while this Agreement remains in effect, Ivim agrees to provide You with access to personalized health and wellness guidance information and product sourcing (the “Service”) on a subscription basis, in accordance with this Agreement and the other terms set forth in this Agreement.
1.2 By enrolling in an Ivim program, you agree to pay all applicable fees, including subscription fees, for the services selected on our website or as otherwise agreed in writing. Because Ivim programs include immediate access to provider scheduling, medical consultations, personalized health coaching, and more, all fees are non-refundable once payment terms are accepted. You are contractually obligated to pay all remaining amounts due through the full duration of the program selected, regardless of usage or early cancellation. By completing your purchase, you agree to all recurring charges and affirm that you understand the commitment and cancellation limitations of the selected program, programs, or services.
1.3 Ivim is not an insurance provider and does not offer insurance coverage. Subscription fees are not eligible for insurance reimbursement and cannot be submitted to health plans or health savings accounts without independent verification.
1.4 Program Compliance, Participation and Medication Access. Ivim offers medical subscription programs that provide patients with access to ongoing clinical care, including provider visits, health coaching, and prescriptions for medications (when clinically appropriate). This subscription is billed as a monthly program access fee and is not a purchase of any specific medication or treatment. Access to medications may be included as part of the program, but only if deemed medically appropriate and contingent on your continued participation and compliance with the program terms.
To maintain eligibility for all program components, including prescription refills, you must:
- Attend scheduled medical visits;
- Refill medications on time when notified;
- Report treatment use as required and follow dosing instructions; and,
- Remain continuously enrolled and current on your subscription payments.
If you fail to comply with any of the above, you understand and agree that:
- You may forfeit access to future medication refills, regardless of prior payment.
- Payments already made are non-refundable, and no pro-rated refunds will be issued; and
- To regain access to care or medications, you may be required to re-enroll in the program and restart subscription payments.
2. Automatic Payment Drafting
2.1 Authorization of Recurring Payments
By subscribing to a Ivim program, you authorize Ivim to automatically charge your selected payment method on a monthly basis for the duration of the program you selected. You acknowledge that this constitutes a recurring payment obligation, and charges will continue monthly unless and until your subscription is properly terminated pursuant to Section 3 of this Agreement.
2.2 Disclosure of Recurring Fees
You agree that the amount, frequency, and duration of your recurring charges are clearly and conspicuously disclosed at checkout, in compliance with applicable automatic renewal laws (including California’s Auto-Renewal Law) and that you provide express consent to such charges by accepting the Terms of Service and completing your purchase. Charges will be made automatically without further authorization, using the payment method you provided at the time of purchase or updated thereafter. You affirmatively consent to these charges by completing your purchase. After subscribing, you will receive a confirmation email that includes a summary of your selected plan, billing frequence, and instructions for canceling.
2.3 Maintenance of Payment Information
You are responsible for keeping your payment information current and accurate. If a charge is declined, Ivim may attempt to reprocess the payment and/or contact you to obtain updated payment information. Failure to maintain valid payment credentials may result in suspension or termination of access to the Services.
2.4 No Mid-Term Cancellation
You acknowledge that, pursuant to the Subscription Agreement and as disclosed during checkout, your subscription cannot be canceled mid-term, and you are contractually obligated to pay all remaining fees for the full duration of the program selected.
2.5 Subscription Changes and Payment Failures
Ivim reserves the right to modify the features, pricing, or structure of subscription offerings with at least 30 days’ advance notice. If any recurring payment fails, Ivim may attempt to reprocess the charge multiple times. If payment continues to fail, Ivim may suspend or terminate access to Services until payment is resolved.
2.6 Non-Transferability
Your subscription is personal to you and may not be assigned, transferred, or shared with any other individual or third-party.
- Term and Termination
3.1 This Agreement begins on the date of purchase. The purchase acknowledges the acceptance of the agreement on behalf of You and Ivim and will then continue on a month-to-month basis unless and until properly terminated either directly by You or Ivim on the Ivim website using the instructions at www.ivimhealth.com/faq (effective immediately upon notice) or by sending a text message or an email using support@ivimhealth.com indicating you are terminating your Ivim subscription. This request must be made at least 48 hours in advance from the timing of your subscription renewal, otherwise, Ivim cannot guarantee the request will be processed in time. Your cancellation request must clearly indicate your intent to cancel and be sent at least 48 hours before your renewal date. Failure to do so may result in charges for the upcoming term.
3.2 Ivim may terminate this Agreement immediately at any time via the website and will do so if You directly, or through anyone acting on Your behalf or with Your authorization, breach any term or condition in this Agreement or in Ivim’s Terms of Service.
3.3 If Ivim terminates your subscription for reasons other than a breach of this Agreement or the Terms & Conditions, a pro-rated refund may be issued at our discretion.
- Access and Use of Service
4.1 You shall use the subscription Service solely for its intended purposes and in compliance with all applicable laws, regulations, and Ivim’s Terms and Conditions.
4.2 You shall not share, transfer, or sublicense Your access to the Service or payment obligations with any other individual or organization, without Ivim’s prior written consent.
- Smart Devices
5.1 In order to provide comprehensive health and wellness services, some patients may require additional health monitoring through the use of bio monitoring devices. Ivim Health may provide equipment to subscribing members, including but not limited to weight monitoring equipment such as weight scales, to Ivim Health members at no additional cost. This equipment is to be used solely for the purposes of the subscribers health and wellness program. Outside use of the equipment, use by another party, or reselling of the equipment is prohibited. This equipment is the property of Ivim Health and may be requested to be returned or may be deactivated at any time, including upon cancellation of Ivim membership. Failure to return Ivim-issued devices within 14 days of cancellation or upon request may result in a charge equal to the retail value of the equipment, which you authorize Ivim to charge using the payment method on file.
5.2 In some cases Ivím may also provide devices at no additional charge when testing new bio-monitoring devices. These devices remain the property of Ivím and can be disabled at any time, including upon membership termination by you, the patient.
- Intellectual Property Rights
6.1 You acknowledge that Ivim owns all intellectual property rights (copyright and trademarks) on the Ivim website or related to the Service and any related documentation or materials provided by Ivim.
6.2 You are being granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for the duration of this Agreement.
- Confidentiality
7.1 Both Parties agree to maintain the confidentiality of any proprietary or confidential information received from the other Party, except as required by law or with the other Party’s prior written consent.
- Limitation of Liability
8.1 To the maximum extent permitted by law, Ivim’s ’s total liability for any claim arising under or in connection with this Agreement shall be limited to the amount of fees paid by You to Ivim in the preceding 12 months.
8.2 Any disputes arising under this Agreement will be resolved in accordance with the Dispute Resolution provisions in Ivims Terms & Conditions, including binding arbitration where applicable.
- Governing Law and Jurisdiction
9.1 This Agreement shall be governed by and construed in accordance with the laws of Michigan without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Michigan. To be effective, any notices You give to Ivim must be provided to Ivim on the Ivim website using ivimhealth.com/contact or sent certified mail return receipt requested to Ivim’s Principal Mailing Address at 4200 Regent Street, Suite 200, Columbus, OH 43219. Notices sent via email must be addressed to support@ivimhealth.com. For physical mail, use the Principal Mailing Address above.
- Entire Agreement
10.1 This Agreement, along with Ivim’s Terms of Service and Privacy Policy, constitutes the entire agreement between the Parties with respect to the Ivim subscriptions and supersedes any prior agreements, understandings, and representations. It may be supplemented but not replaced by other agreements Ivim and You make for other services or purchases of products through Ivim. All personal data collected through this subscription is governed by Ivim’s Privacy Policy.
